1. Agreement to terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "Academy Owner," or "User") and Spicyfy Ventures LLC / Budofy ("Budofy," "we," "us," or "our"). These Terms govern your access to and use of the Budofy website (budofy.com), web application, and associated mobile software services.

By creating an account, paying for a subscription, or using the platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

2. Description of the platform

Budofy provides software solutions for martial arts schools and fitness academies, including:

• Multi-program management for running distinct disciplines (such as Karate, Brazilian Jiu-Jitsu, Taekwondo, and Kickboxing) under one account.
• Belt rank-based curriculum gating and progression tracking.
• Automated subscription billing, program-based pricing, and student payment administration.
• Online marketplace tools for equipment, merchandise, and event tickets.
• Custom-branded iOS and Android mobile app setup and deployment services.

3. Accounts and responsibilities

When registering an academy account, you must provide accurate, complete, and current information. You are responsible for safeguarding your login credentials and for all activities that occur under your account. You agree to notify us immediately if you suspect unauthorized access to your account.

Academy owners are solely responsible for managing instructor access permissions, student records, and ensuring all student roster data entered complies with applicable local laws and regulations.

4. Subscriptions, fees, and payments

Our services are billed on a recurring subscription basis:

• Academy Plan: $49 per month per active program.
• Additional programs: $49 per month per additional active program.
• Mobile app setup: One-time setup fee of $250 for iOS App Store deployment and $250 for Google Play Store deployment.
• Money-back guarantee: We offer a 30-day money-back guarantee for new academy subscriptions.

Subscription fees are billed in advance on a monthly recurring schedule. You authorize us to charge your designated payment method through our payment processor (Stripe). You may cancel your subscription at any time through your account settings or by contacting customer support.

5. Content ownership and intellectual property

Your content: You retain full ownership and intellectual property rights in all instructional videos, curriculum materials, grading rubrics, logos, and student data you upload to Budofy. You grant Budofy a limited license to host, display, and process your content solely to provide the services to your academy.

Budofy platform: The Budofy software, UI designs, codebases, features, documentation, trademarks, and brand assets remain the exclusive property of Budofy and Spicyfy Ventures LLC.

6. Acceptable use policy

You agree not to:

• Use the platform for any unlawful purpose or to violate local, state, or federal laws.
• Upload malicious code, viruses, or disruptive scripts.
• Reverse engineer, decompile, or attempt to extract source code from the software.
• Circumvent rank-based access controls, security mechanisms, or billing limits.
• Resell or lease access to the platform to third parties without prior written authorization.

7. Limitation of liability

To the maximum extent permitted by applicable law, Budofy and Spicyfy Ventures LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the platform.

Our total cumulative liability under these Terms will not exceed the total amount paid by you to Budofy in the 12 months preceding the claim.

8. Termination and cancellation

You may cancel your academy subscription at any time. Upon cancellation, your account will remain active until the end of your current paid billing period. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activities.

Upon termination, you may request an export of your academy student and rank records within 30 days.

9. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
